(3) For the year ended December 31, 2007, the Reporting Person may be deemed the beneficial owner of 1,716,086 shares of Common Stock of the Issuer.  This number includes 10,000 shares held by Mr. Ross’s daughter.  Mr. Ross disclaims beneficial ownership over these 10,000 shares.
